摘要：为推动国内以专利为标的资产的知识产权证券化融资发展,在总结国内知识产权资产证券化典型模式的基础上,从融资租赁、小额贷款债权、专利许可3种证券化模式出发,选取能分别代表上述3种模式的第一创业-文科租赁一期资产支持专项计划、平安证券-高新投知识产权一号资产支持专项计划和兴业圆融-广州开发区专利许可资金支持专项计划作为案例进行研究,并从项目的运作模式、运作流程和关键要素等方面进行对比分析。研究表明科技型企业利用知识产权证券化模式融资切实可行且必要;同时提出在对知识产权进行转让时应特别关注真实销售的界定标准,作为基础资产的知识产权必须是权利边界和状态清晰稳定、权属明确且能科学评估价值,是多层次的差异性知识产权,以及需要注重采取信用增级措施提高基础资产的质量和信用等级等建议。
In order to promote the financing development of intellectual property securitization,with the patent as the target asset in China,on the basis of summarizing the typical model of intellectual property asset securitization,starting from three securitization models as financial leasing,small loan claims and patent licensing,this paper selects three intellectual property securitization projects representing the above three models as study cases,which named First Venture-Special Plan for Asset Support of Liberal Arts Leasing Phase I,Ping an Securities-High-tech Investment Intellectual Property No.1 Asset Support Special Plan,and Xingye Yuanrong-Guangzhou Development Zone patent Licensing Fund Support Special Plan,analyzes the operation mode,operation process and key elements of the projects.The research shows that it is feasible and necessary for technology enterprises to use the intellectual property securitization mode for financing.At the same time,the paper puts forward that special attention should be paid to the definition criteria of real sales in the transfer of intellectual property rights,as a basic asset,the intellectual property right must be a clear and stable boundary and state of rights,a clear ownership and a scientific evaluation of value,it is a multi-level differential intellectual property right,and should pay attention to the credit enhancement measures to improve the quality of basic assets and credit grade.
