摘要：出售型破产重整是我国近年破产司法实践中探索适用的一种新模式,由于立法规定比较粗疏,实践应用中存在多重困境:逃废债务的合法性困境、出售价格的合理性困境、买受人的适格性困境、重整业务延续困境。从制度的本源出发,探寻制度的价值,提出突破这些困境的基本思路有四:明确适用的实体要件,防止出售型重整的滥用和闲置;引入国外“假马竞标”模式,通过竞价确定合理的转让价格;确立投资人的选任条件和程序,确保最适格的买受人进入;明确后续衔接,确保出售型重整后业务延续。
The direct sale model in reorganization is a new model that is explored and applied in China’s bankruptcy judicial practice in recent years,due to the rough and negligent legislative provisions,there are multiple dilemmas in practice: the legitimacy dilemmas of escaping debts,the rationality dilemmas of selling prices,the eligibility dilemmas of vendees,and the continuity dilemmas of reorganizing business.Starting from the origin of the system,exploring the value of the system,and proposing four basic ideas to break through these dilemmas: clearly define the applicable substantive elements,prevent the abuse and idleness of the direct sale model in reorganization;introduce the foreign "fake horse bidding"model,and determine the reasonable transfer price through bidding;establish the investor ’s selection conditions and procedures to ensure the most suitable buyer to enter;clear follow-up Connection to ensure the business continuity after the direct sale model in reorganization.
