摘要：法人或非法人组织工作人员的职权代理的规范理路需遵循“职权”的内部生成机制、“职权代理”的外部表达需要等基本逻辑，并受到法人（非法人组织）的类型、“职权”与法人（非法人组织）治理之间的耦合关系等制约因素的影响。职权代理的法律表达，应当在普通代理法的委托代理、表见代理（无权代理）等基本规则的基础之上，为具体判断“职权”生成和表达的真实性、客观性提供更为明确、细致的指引。《民法总则》第170条为迎合民商合一的立法理念，试图单独为职权代理创设简单、抽象化的一般性规则，但该条第1款与第2款之间存在明显的逻辑矛盾，亦背离了职权代理的规范理路。
The normative logic of the agency of authority of legal persons or unincorporated organiza- tions should follow the internal generation mechanism of ＂authority＂ and the expression of external representation of agency, and it is influenced by types of legal persons （unincorporated organization） , authority and corporate （ unincorporated organizations） governance and other constraints. On the basis of the fundamental rules such as the principal - agent and the proxying agent （ non - authorized agent） of the general Agent Law, the legal expression of the authoritative agent should provide a clearer view, the authenticity and objectivity of the concrete judgment of the formation and expression of the ＂authority＂ and further offer detailed guidelines. In order to cater to the legislative concept of integration of civil and commercial interests,Article 170 of the General Provisions of Civil Law tries to independently create simple and abstracted general rules for the agency of authority, but there is a clear logical contradiction between paragraphs 1 and 2 of the article, it also deviates from the norms and principles of agency.
