摘要：党组织嵌入公司治理是中国特色现代企业制度建立的前提,也是完善国有企业治理结构、提高企业竞争力的重要保障。本文采用对国有控股公司治理结构效能的问卷调查数据,建立结构方程模型,实证考察了党组织嵌入公司治理对结构效能影响的路径。通过研究发现,党委会作用的发挥不仅直接对公司治理结构的效能具有直接、正向影响,还可以通过影响董事会、监事会、经理层对公司治理结构的效能实现间接、正向的影响效果。
Corporate governance embedded by the Party organization is not only the premise of the establishment of modern enterprise system with Chinese characteristics,but also the important guarantee of improving the governance structure and competitiveness of state-owned enterprises.In this paper,we use the questionnaire survey data on the effectiveness of corporate governance structure of state-owned holding companies to establish a structural equation model,and empirically examine the affecting paths of corporate governance embedding by the Party organization on the structural effectiveness.Through the research,it is found that the role of the Party organization has not only a direct positive impact on the structural effectiveness of corporate governance,but also an indirect and positive impact on the structural effectiveness of corporate governance by influencing the board of directors,board of supervisors and managers.
